Affiliate:
The individual or legal entity approved to participate in the Program.
The Program allows approved Affiliates to promote Leadership by Design Academy™ digital courses, modules, bundles, and related offerings using unique referral links.
Participation does not create an employment relationship, partnership, joint venture, franchise, or agency relationship.
3.1 Affiliates must provide accurate, complete, and current registration information.
3.2 Participation is subject to approval at our sole discretion.
3.3 Approval may be revoked at any time, with or without cause.
3.4 Continued participation is conditioned on ongoing compliance with these Affiliate Terms.
“Qualifying Purchase” means a completed purchase made by a new customer through a valid Affiliate link that:
- Is properly tracked by our systems
- Is not refunded, reversed, or charged back
- Is not a self-referral or related-party purchase
- Complies with these Affiliate Terms
“Net Revenue” means gross purchase price minus:
Taxes
- Payment processing fees
- Refunds, chargebacks, reversals
- Credits, discounts, coupons, or incentives
- Fraudulent or invalid transactions
Commissions are calculated only on Net Revenue.
5.1 Affiliates will be provided with unique referral links through the Affiliate Dashboard.
5.2 Links must not be altered, masked, or manipulated.
5.3 Tracking relies on cookies and system attribution.
5.4 If a referral cannot be accurately tracked, no commission will be paid.
6.1 Commission Rate:
Affiliates earn a commission of [Insert %] on Qualifying Purchases.
6.2 Cookie Duration:
Referral cookies remain active for [Insert number] days from the customer’s initial click, unless cleared earlier.
6.3 Attribution:
If a referral cannot be accurately tracked, no commission will be paid.
6.4 Commission Adjustments:
We reserve the right to reverse, withhold, or adjust commissions for:
- Refunds or chargebacks
- Suspected fraud or invalid traffic
- Violations of these Affiliate Terms
7.1 Commission payments are issued monthly, on or around the 20th of each calendar month.
7.2 A minimum payout threshold of $[Insert Amount] applies.
7.3 Payments are made via PayPal or bank transfer based on Affiliate registration details.
7.4 Affiliates are responsible for providing accurate payment and tax information.
8.1 Commissions are not final until the applicable refund period has expired.
8.2 We may withhold payments while investigating suspected violations or invalid activity.
8.3 If commissions have already been paid on refunded or reversed transactions, we may deduct them from future payouts or require repayment.
Affiliates are solely responsible for all taxes arising from commissions earned. Leadership by Design Academy™ does not withhold taxes or provide tax advice.
Affiliates agree to promote Leadership by Design Academy™ professionally, accurately, and in good faith.
Affiliates may not:
- Make income, outcome, or performance guarantees
- Misrepresent pricing, access, or program scope
- Offer unauthorized discounts, bonuses, or incentives
- Represent themselves as “official,” “certified,” or endorsed partners
- Reproduce, teach, or give away course tools, frameworks, worksheets, or proprietary content
- Bid on Leadership by Design Academy™ trademarks or variations in paid advertising
- Engage in spam, deceptive practices, or black-hat SEO
- Use software, browser extensions, pop-ups, iframes, or cookie-stuffing techniques
Affiliates have no authority to bind, represent, or speak on behalf of Leadership by Design Academy™, including making statements regarding outcomes, guarantees, partnerships, certifications, or endorsements.
Affiliates must clearly and conspicuously disclose their affiliate relationship in accordance with applicable advertising and consumer protection laws, including FTC guidelines.
Failure to disclose is a material breach of these Affiliate Terms.
Affiliates may not promote Leadership by Design Academy™ on or alongside content that is:
- Illegal, deceptive, or misleading
- Pornographic or sexually explicit
- Hateful, harassing, discriminatory, or violent
- Inconsistent with the Leadership by Design™ brand values
We retain sole discretion to determine what constitutes brand harm.
13.1 All intellectual property rights belong exclusively to Leadership by Design Academy™.
13.2 Affiliates are granted a limited, non-exclusive, revocable license to use approved marketing assets solely for Program participation.
13.3 No ownership or broader license is granted.
We may:
- Audit Affiliate activity and traffic sources
- Request records related to promotional methods
- Suspend payouts during investigation
Failure to cooperate may result in termination and forfeiture of commissions.
Affiliates must, upon request, disclose traffic sources, promotional methods, and platforms used to generate referrals.
15.1 Either party may terminate participation at any time.
15.2 We may terminate immediately for violations, fraud, brand harm, or legal risk.
15.3 Upon termination for cause, all pending or unpaid commissions are automatically forfeited. For purposes of these Affiliate Terms, ‘for cause’ includes, without limitation, violations of these Affiliate Terms, deceptive or misleading marketing practices, failure to comply with disclosure requirements, brand misuse, fraudulent or invalid traffic, or conduct that, in our sole judgment, poses reputational, legal, or operational risk.
15.4 Affiliates must immediately remove all Affiliate links and branding upon termination.
- We make no guarantees regarding earnings or conversion rates
- Program availability, pricing, and commission rates may change
- Continued participation constitutes acceptance of changes
To the fullest extent permitted by law, Leadership by Design Academy™ shall not be liable for indirect, incidental, or consequential damages. Total liability shall not exceed commissions paid to the Affiliate in the preceding 12 months.
These Affiliate Terms are governed by the laws of the State of California.
Disputes are subject to binding arbitration in Los Angeles County, California, as set forth in the Terms of Use.
We may update these Affiliate Terms at any time. Material changes will be communicated in advance. Continued participation constitutes acceptance of updated terms. Any changes to commission rates will apply prospectively to future referrals and shall not affect commissions already earned on Qualifying Purchases prior to the effective date of the change.
These Affiliate Terms, together with the Leadership by Design Academy™ Terms of Use, constitute the entire agreement between the parties regarding the Program.
By enrolling in or participating in the Leadership by Design Academy™ Affiliate Program, you acknowledge that you have read, understood, and agree to these Affiliate Program Terms & Conditions.
